Keyware cancels 1.027.144 treasury shares

Keyware today announces that, in accordance with the decision of its Extraordinary General Meeting of Shareholders held on May 30, 2025, it has canceled 1.027.144  treasury shares. As a result of this cancellation, the total number of outstanding shares—and corresponding voting rights—has been reduced to 22.516.649. Following this transaction, Keyware no longer holds any treasury shares on its balance sheet.

This cancellation was carried out in strict compliance with the provisions of the Belgian Law of May 2, 2007, on the disclosure of significant shareholdings in listed companies. Keyware confirms that all necessary regulatory filings and disclosures have been completed in full.

Statutory Thresholds
In accordance with the articles of association of Keyware Technologies NV and article 18 of the Law of 2 May 2007 on the disclosure of significant shareholdings, the threshold at which a shareholding must be disclosed is set at 5%, and thereafter at each multiple of 5%.

Notifications must be submitted both to Keyware Technologies NV and to the FSMA. The FSMA requires electronic submission via the e-mail address trp.fin@fsma.be. Keyware also recommends sending a notification by e-mail marked for the attention of Keyware Investor Relations (ir@keyware.com). The relevant notifications are published on the investor page of Keyware under the section “Wettelijke informatie”.
